InnovAge (INNV) Shares Tumble 9% After Hours: Here's Why

InnovAge Holding Corp. (NASDAQ:INNV) shares fell 9.43% to $9.65 in after-hours trading Tuesday after the company announced the pricing of a secondary offering of its common stock by selling stockholders. InnovAge is a healthcare company providing comprehensive programs to frail, predominantly dual-eligible seniors through the Program of All-inclusive Care for the Elderly, or PACE. Secondary Offering InnovAge announced the pricing of an underwritten public offering of 10 million shares at $9.25 per share by investment funds affiliated with Apax Partners and Welsh, Carson, Anderson & Stowe. The offering is expected to close on Sept. 24, subject to customary closing conditions. The selling stockholders also granted the underwriters a 30-day option to purchase up to an additional 1.5 million shares at the public offering price, less underwriting discounts and commissions. InnovAge is not selling any shares in the offering and will not receive proceeds from the sale. The company will bear the costs associated with the sale, other than underwriting discounts and commissions. Selling Stockholders Barclays PLC (NYSE:BCS), Goldman Sachs Group Inc. (NYSE:GS) and Wells Fargo & Company (NYSE:WFC) are acting as lead book-running managers and representatives of the underwriters. UBS Investment Bank, William Blair and KeyBanc Capital Markets are acting as book-running managers, while Academy Securities and Ramirez & Co. are acting as co-managers. As of June 30, 2026, InnovAge served approximately 8,230 participants across 20 centers in six states. Over the past 12 months, InnovAge shares rose 121.52%. The stock has traded between a 52-week high of $12.64 and a 52-week low of $3.94.
